Unlisted shares are shares of companies that are not listed on a stock exchange such as NSE or BSE. They are bought and sold privately and held in your demat account.
You need a demat account and completed KYC. You agree the price and quantity with the seller or intermediary, make the payment, and the shares are transferred off-market to your demat account. On InvestoEdge, you can start by sending a Buy request from the Unlisted Shares page.
Yes, individuals can legally buy and sell unlisted shares through private (off-market) transfers. These deals happen off-exchange, so they are not covered by stock exchange investor protection or grievance mechanisms.
There is no exchange price. Prices are indicative and set by demand and supply between buyers and sellers, so they can differ across platforms and change at any time.
You can sell only when a buyer is available, so a sale may take time and the price may differ from what you expect. Liquidity is much lower than for listed shares.
Yes. Unlisted shares are transferred to and held in your demat account (NSDL or CDSL).
Pre-IPO shares are unlisted shares of companies that are expected to go public. All pre-IPO shares are unlisted, but not every unlisted company plans an IPO.
For a main-board IPO, shares held before the issue by non-promoters are generally locked in for six months from the date of IPO allotment (SEBI ICDR Regulations). SME IPOs have a longer lock-in, generally one year.
Your shares become listed shares in the same demat account. You can sell them on the exchange after the applicable lock-in period ends.
An IPO is never certain, and plans can be delayed or dropped. You would keep holding the shares as unlisted shares and could sell them only through a private sale.
Gains on unlisted shares held for 24 months or less are short-term and taxed at your income-tax slab rate. Gains on shares held for more than 24 months are long-term and taxed at 12.5% without indexation, under current rules. Please consult a tax adviser.
No. Under current rules, the ₹1.25 lakh annual exemption under Section 112A applies only to listed equity on which STT has been paid, not to unlisted shares.
Once the shares are listed and sold on the exchange, the rules for listed equity generally apply. How your holding period is counted can vary, so please confirm your case with a chartered accountant.
A loan against securities (LAS) lets you borrow by pledging investments such as shares, mutual funds or bonds, without selling them. The loan is given by a regulated lender.
It depends on the security and the lender. InvestoEdge’s page shows up to 50% of market value for equity shares and equity mutual funds, 70–80% for debt mutual funds, and up to 80% for bonds and government securities. RBI sets the maximum limits for banks.
Rates depend on the lender and your profile. InvestoEdge’s page shows rates starting from 10% p.a. Interest is charged only on the amount you use.
If the value of your pledged securities falls, the lender may ask you to repay part of the loan or pledge more securities. If you don’t, the lender may sell the pledged securities.
Complete your KYC, choose a scheme, and set the amount and date for the SIP. The amount is then debited automatically each month. Mutual fund investments are subject to market risks; read all scheme-related documents carefully.
Direct plans are bought straight from the fund house and have a lower expense ratio. Regular plans are bought through a distributor and include a distribution commission in the expense ratio.
You can buy listed corporate bonds through a SEBI-registered online bond platform or a broker, and the bonds are held in your demat account. Check the credit rating, yield, maturity and issuer before you invest.
Under SEBI rules, the minimum investment in a Portfolio Management Service (PMS) is ₹50 lakh per client. Accredited investors are an exception.
Mutual funds pool money from many investors and have low minimums. PMS is a portfolio managed in your own name, with a minimum of ₹50 lakh. AIFs are pooled funds for sophisticated investors, generally with a minimum of ₹1 crore.
Click Get Started on the Open Demat page, enter your details and complete KYC digitally using Aadhaar and PAN. The account is opened with Bajaj Financial Securities Ltd., and InvestoEdge acts as a facilitator.
